It's not a loan. He's not tied with Barca under any contract. It's only that Barca will have to buy him back if Roma doesn't want to pay the rest of the money. So Barca will have to pay 13m to get him back before selling him.

Do we have the option to just accepting Roma not buying the money and let him stay there?

I thought that Roma bought him for 12 million and we had the option of buying him back for 13 million in 2013, but if Roma blocked the transfer they would have to pay an additional 28 million. So the player is completely owned by Roma and obviously we won't be taking up the buyback option of 13 million.

That is incorrect. Only if we want the player back and Roma refused would they have to pay 28 million. As we won't be taking up the option he is Roma's completely.

Or am I wrong?

whoever did that contract on barca's side should be fired on the spot. we're wasting valueable money that needs to be used to bring nerman in for 70m

The Bojan deal was designed by executives, not Zubi. It was designed for accounting purposes and to make the club look better to the banks. Here's a breakdown of it:

Bojan coming through the youth system had zero value on the accounts.
Barca had a budget of 40-45M for transfers, but they spent 55M on Alexis and Cesc
Going over budget looks bad, so they wanted to raise some short term money.
Selling Bojan to Roma they got a 12M profit onto the accounts to cover their spending.
There is a compulsory 13M buyback clause after two years, in paying this back the cash goes down 13M but they put Bojan back on the accounts at 13M so no loss is recorded.
In essence, they've borrowed 12M from Roma for two years, so paying back an extra million works out at an interest rate of around 4% per year, which is decent.
If Roma want to keep Bojan, they have to pay 28M or get Barca to agree a lower fee. Obviously they don't want him.
If Milan want him, they have to come to an agreement with Barca(maybe 28M will get him without Barca's agreement).
Bojans value on Barca's accounts will be 13M. If Milan get him for 5M then Barca will take a loss of 8M on the accounts.
Most likely Barca will wait for a better offer, or more likely a loan deal will be arranged. After a year on loan Bojan's value on the accounts will depreciate(probably to around 9M) and then they'll be happier to sell him.
They should try to loan him to Swansea or something, if he does ok in the Premier League his value will increase quite easily.
